Board Composition and Strategic Decision Making: A Study of Diversity and Expertise in Nigeria
Abstract
Board composition plays a critical role in shaping corporate governance and strategic decisionmaking. This study examines the impact of board diversity and expertise on organizational effectiveness, particularly in the Nigerian business landscape. The research highlights that board diversity—encompassing gender, age, professional background, and ethnicity—enhances innovation, risk-taking, and decision-making quality. Additionally, board expertise in finance, law, and industry-specific knowledge significantly influences investment strategies, regulatory compliance, and corporate resilience. However, challenges such as political interference, cultural biases, and inadequate regulatory enforcement hinder optimal board composition in Nigeria. The study draws from Agency Theory, Resource Dependence Theory, and Upper Echelons Theory to explain how board composition affects firm performance. Comparative analyses of expert-driven versus non-expert boards demonstrate that firms with well-structured, diverse boards achieve better financial performance, regulatory compliance, and strategic adaptability. The study recommends policy interventions such as stricter governance codes, merit-based board appointments, mandatory diversity quotas, and continuous board training programs to enhance corporate governance. Future research should focus on the longitudinal impact of board composition on firm performance, particularly in emerging economies. By improving board diversity and expertise, Nigerian firms can strengthen corporate governance, enhance decision-making, and sustain long-term business growth.
