Corporate Governance Practices in Administrative and Oversight Contexts A Comparative Legal Analysis

Sep 2026 · International Journal of Scientific Studies Publishing · 0 citations

Abstract

This comparative analytical study examines the impact of legislative modernization on joint-stock corporate governance in Lebanese and French legal frameworks, with a particular focus on the structural reforms introduced by Lebanese Law No. 126/2019 alongside the French PACTE and Florange Acts. The research highlights the efficacy of bifurcating the Board Chairmanship from General Management to mitigate conflicts of interest and refine legal liability attribution, while critically assessing the statutory divergence between Lebanon’s abolition of double voting rights and France’s conditional retention designed to incentivize long-term equity investment. Furthermore, the study analyzes the pivotal role of specialized board committees (Audit, Risk, ESG) and the statutory independence of external auditors (commissaires aux comptes) in preventing corporate insolvency, ultimately exploring how integrating Artificial Intelligence and smart contracts transforms internal control ecosystems and legal compliance.
